These Terms & Conditions (“Terms”) govern access to and use of the Platform operated by Thrift Findrs (“Platform,” “Company,” “We,” “Us,” or “Our”).
By accessing or using the Platform, You agree to be bound by these Terms.
1. DEFINITIONS
- Platform: The website, mobile application, software, and related services.
- User: Any individual or entity accessing the Platform.
- Shopper: A User browsing or attending listed sales.
- Organizer: A User listing estate sales or events.
- Charity: A nonprofit organization listed for donation opportunities.
- Listing: Any sale, donation, or pickup post published on the Platform.
2. PLATFORM ROLE & DISCLAIMER
The Platform is a technology-based listing and discovery service only.
The Platform does not:
- Conduct sales
- Handle payments between Users
- Verify item condition or authenticity
- Provide tax, legal, or financial advice
- Supervise events, pickups, or transactions
- Guarantee attendance, revenue, or outcomes
The Platform is not a party to any transaction or interaction between Users.
3. USER ELIGIBILITY
Users must:
- Be at least 18 years of age
- Provide accurate account information
- Maintain current contact details
- Comply with all applicable laws
Accounts may be suspended or terminated at the Platform’s sole discretion.
Users may request account deletion through in-app settings or by contacting support at support@thriftfindrs.com.
4. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM SHALL NOT BE LIABLE FOR:
- PERSONAL INJURY OR PROPERTY DAMAGE
- LOST PROFITS OR BUSINESS INTERRUPTION
- DISPUTES BETWEEN USERS
- MISREPRESENTATIONS BY ORGANIZERS OR CHARITIES
- THIRD-PARTY ACTIONS OR OMISSIONS
- UNAUTHORIZED ACCESS OR DATA BREACHES
- ERRORS, OMISSIONS, OR INTERRUPTIONS
USE OF THE PLATFORM IS AT YOUR OWN RISK.
5. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Platform from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Platform
- Listings you create or interact with
- Violations of these Terms
- Interactions with other Users
SHOPPER TERMS
1. SHOPPER-SPECIFIC DISCLAIMERS
Shoppers acknowledge that:
- Listings are posted by third parties
- Item availability, pricing, and condition are not guaranteed
- Entry to private property is at Shopper’s own risk
- The Platform does not vet organizers or locations
2. ASSUMPTION OF RISK (SHOPPERS)
Shoppers voluntarily assume all risks associated with:
- Attending estate sales
- Entering private residences
- Purchasing used goods
- Interacting with Organizers or Charities
3. NO WARRANTIES
All listings and content are provided “AS IS” and “AS AVAILABLE.”
ORGANIZER TERMS
1. ORGANIZER RESPONSIBILITIES
Organizers are solely responsible for:
- Accuracy of listings
- Pricing and descriptions
- Compliance with zoning, permits, and laws
- Crowd control and safety
- Tax collection and reporting
- Payment handling
- Property owner permissions
2. PROHIBITED CONTENT
Organizers may not list:
- Illegal or stolen goods
- Weapons or controlled substances
- Hazardous or recalled items
- Misleading or deceptive listings
3. FEES & PAYMENTS
- Posting, boosting, and subscription fees are non-refundable
- The Platform does not guarantee results
- Pricing is subject to change with notice
4. ORGANIZER INDEMNITY
Organizers agree to indemnify the Platform for:
- Injury or damages at sale locations
- Misrepresentation claims
- Tax disputes
- Consumer complaints
- Property damage
CHARITY TERMS
CHARITY PARTNER TERMS OF SERVICE ADDENDUM
This Charity Partner Terms of Service Addendum (“Addendum”) is incorporated into and made part of the Platform Terms of Service (“Terms”). Capitalized terms not defined herein shall have the meanings set forth in the Terms.
This Addendum governs the participation of nonprofit or charitable organizations (“Charity,” “You,” or “Your”) on the Platform.
By creating, accessing, or maintaining a Charity account, You acknowledge and agree to be bound by this Addendum.
1. Platform Role and No Endorsement
The Platform functions solely as a technology-based listing and discovery service. The Platform does not operate, manage, supervise, control, or direct any Charity activities, donation transactions, donation pickups, transportation, valuation, or tax reporting.
Nothing contained on the Platform shall be construed as an endorsement, sponsorship, partnership, joint venture, or agency relationship between the Platform and any Charity.
2. Eligibility and Representations
Charity represents and warrants that:
a. Charity is a duly organized and validly existing nonprofit or charitable organization under applicable law;
b. Charity maintains valid federal tax-exempt status, if applicable;
c. All information submitted to the Platform is accurate, current, complete, and not misleading;
d. The individual creating or managing the account is authorized to bind Charity; and
e. Charity will promptly notify the Platform of any changes to tax status, leadership, address, or operations.
The Platform reserves the right to rely on the accuracy of all representations without independent verification.
Charities must:
- Be legally registered entities
- Provide valid EIN and tax documentation
- Maintain good standing
Approval is administrative only and not an endorsement.
3. Verification and Account Approval
Charity acknowledges that the Platform may require submission of documentation, including but not limited to IRS determination letters, W-9 forms, EIN confirmation, and identification of authorized representatives.
Approval of a Charity account constitutes administrative acceptance only and does not constitute legal, financial, or operational verification.
4. Tax Matters and Donation Receipts
Charity is solely responsible for:
- Determining eligibility for tax-deductible donations;
- Issuing donation receipts;
- Compliance with all federal, state, and local tax laws.
The Platform does not provide tax advice, determine donation value, or guarantee tax deductibility.
- The Platform does not verify tax deductibility
- The Platform does not assign donation value
- Charities are solely responsible for receipts and compliance
5. Donation Pickups and Transportation
If Charity offers donation pickup or transportation services, Charity assumes all responsibility and liability related thereto, including compliance with applicable laws, insurance requirements, and safety standards.
The Platform disclaims all liability arising from pickup, transportation, handling, or storage of donated items.
6. Prohibited Items and Safety
Charity agrees not to solicit, accept, or transport items that are illegal, hazardous, recalled, unsafe, regulated, or otherwise prohibited by law.
Charity bears sole responsibility for communicating accepted and prohibited items to donors.
7. Suspension and Termination
The Platform reserves the right, in its sole discretion, to suspend, restrict, or terminate Charity accounts or listings at any time for compliance concerns, suspected fraud, or violations of the Terms or this Addendum.
8. Indemnification
Charity agrees to indemnify, defend, and hold harmless the Platform, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to Charity’s use of the Platform.
Including but not limited to:
- Donation disputes
- Pickup-related claims
- Tax issues
- Fraud or misrepresentation
9. Limitation of Liability
To the maximum extent permitted by law, the Platform shall not be liable for indirect, incidental, consequential, or punitive damages arising from Charity participation on the Platform.
10. Governing Law
This Addendum shall be governed by and construed in accordance with the laws specified in the Terms.
DONATION LIABILITY WAIVER AND RELEASE
By posting, scheduling, or participating in donation listings through the Platform, the undersigned (“User”) acknowledges and agrees as follows:
1. Platform Disclaimer
The Platform provides a technology service to facilitate connections between donors and charitable organizations. The Platform does not participate in donation transactions, transportation, valuation, or tax reporting.
2. As-Is Donations
All donated items are provided “AS IS” and “WHERE IS,” without warranties of any kind, express or implied.
3. No Tax or Valuation Advice
The Platform does not assign value to donated items, verify charitable eligibility, or provide tax advice. All tax matters are the sole responsibility of the donor and the charity.
4. Pickup and Transportation
If offering pickup services, Charities assume all responsibility for:
- Transportation
- Insurance
- Safety
- Volunteer conduct
Any pickup or transportation of donated items is conducted by the charity or third-party service, not the Platform. The User releases the Platform from all liability arising from such activities.
5. Release and Waiver
User hereby releases and forever discharges the Platform and its affiliates from any and all claims arising from donation listings, pickups, charity actions, or third-party conduct.
6. Assumption of Risk
User voluntarily assumes all risks associated with donation activities facilitated through the Platform.
DATA & PRIVACY
1. DATA HANDLING
Users acknowledge:
- EINs and IDs are collected for verification
- Sensitive data is stored securely
- Public profiles do not display private documentation
2. COMMUNICATIONS
Users consent to receive:
- Transactional emails
- Platform notices
- Compliance communications
DISPUTE RESOLUTION
1. GOVERNING LAW
These Terms are governed by the laws of Missouri.
2. ARBITRATION & CLASS ACTION WAIVER
Binding Arbitration & Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to the Platform, including the interpretation or enforcement of these Terms, shall be resolved exclusively by final and binding arbitration, rather than in court.
- Arbitration shall be conducted under the Federal Arbitration Act (FAA).
- Arbitration shall be administered by AAA or JAMS, at the Platform’s election.
- Arbitration may be conducted remotely or in the User’s state of residence.
- Each party bears its own legal costs unless otherwise required by law.
Class Action Waiver:
Users agree that disputes must be brought in an individual capacity only and waive any right to participate in class, collective, or representative actions.
Exception:
The Platform may seek injunctive or equitable relief in court for misuse, fraud, or intellectual property violations.
3. SEVERABILITY
If any provision is unenforceable, the remaining provisions remain in effect.
4. MODIFICATIONS
The Platform may modify these Terms at any time. Continued use constitutes acceptance.
